(1) These General Terms and Conditions apply to all contracts between RheinPrintPack GmbH (the “Contractor”) and its customers for the manufacture and supply of packaging and print products. (2) Our offer is aimed exclusively at businesses within the meaning of § 14 BGB, legal entities under public law and special funds under public law. (3) Deviating terms of the customer apply only if we expressly agree to them in writing.
(1) Our quotes are non-binding and, unless stated otherwise, valid for 30 days. (2) A contract is concluded by our written order confirmation (including by email) or by the start of performance. (3) The scope of services is determined by the order confirmation and the approved documents.
(1) All prices are net plus statutory VAT. (2) Unless agreed otherwise, invoices are payable without deduction within 14 days of the invoice date. (3) For new customers or large runs we may request a reasonable advance payment. (4) Costs of subsequent changes requested by the customer (e.g. data, formats, finishes) are charged separately.
(1) The customer is responsible for the correctness and printability of the data supplied. Our free data check does not replace a content review. (2) Before production the customer receives a proof or sample. With approval, the customer assumes responsibility for content, text, layout and colours; we are not liable for errors discovered after approval. (3) Minor colour deviations from screen display, proofs or earlier runs within customary industry tolerances (including ISO 12647) and material-related deviations do not constitute a defect.
The customer warrants that it holds all necessary rights to the artwork, logos, trademarks and texts supplied and indemnifies us against third-party claims for infringement of such rights.
Production-related over- or under-deliveries of up to 10 % of the quantity ordered are permitted and are invoiced according to the quantity actually delivered.
(1) Delivery dates are binding only if expressly confirmed as binding; they do not begin before receipt of print approval and any agreed down payment. (2) Force majeure and unforeseeable disruptions extend the delivery time appropriately. (3) Risk passes to the customer upon handover to the carrier unless agreed otherwise. Partial deliveries are permitted where reasonable.
Goods delivered remain our property until all claims arising from the business relationship have been paid in full.
(1) The customer must inspect the goods immediately upon receipt and notify obvious defects in writing within 7 days (§ 377 HGB); hidden defects immediately upon discovery. (2) For justified defects we will, at our discretion, rectify or replace. If this fails, the customer may reduce the price or withdraw from the contract. (3) The limitation period for warranty claims is one year from delivery, where legally permissible.
(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health and under the Product Liability Act. (2) For slightly negligent breach of material contractual obligations, liability is limited to the foreseeable damage typical for the contract. (3) Otherwise liability is excluded.
Unless agreed otherwise, the customer, as the party placing the packaging on the market, is responsible for registration in the LUCID packaging register and system participation. We are happy to assist with licensing.
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). (2) Where permissible, the exclusive place of jurisdiction is the registered office of RheinPrintPack GmbH ([city]). (3) Should individual provisions be invalid, the validity of the remaining provisions shall remain unaffected.
